Job Description

Job Title: Head of Legal and Compliance

Location:  East Africa (multi-jurisdiction, Group-level appointment)
Reports To: Group CEO

Role Purpose: 

The Head of Legal and Compliance is the principal legal advisor within the Office of the Group CEO, serving the Group CEO, the Boards and the Board Committees. The role leads the Group’s legal, compliance and governance agenda across all jurisdictions, translating legal risk into business decisions, enabling cross-border growth, and influencing key stakeholders including regulators, government institutions, external counsel and commercial counterparties.

Strategic Mandate

  • Legal Risk Stewardship: Safeguard the Group’s legal and regulatory position across all operating markets.
  • Commercial Enablement: Structure legally sound solutions that support growth, partnerships and revenue generation.
  • Governance Discipline: Strengthen corporate governance frameworks and Board-level compliance across jurisdictions.
  • Cross-Border Consistency: Harmonise legal standards, contracts and policies across all countries.
  • Litigation Reduction: Reduce litigation exposure through preventive legal strategies and structured interventions.
  • Regulatory Engagement:Maintain credible and proactive relationships with regulators and government institutions.

KEY DUTIES AND RESPONSIBILITIES.

  1. Strategic Legal Leadership

Serve as the primary legal advisor to the Group CEO, Boards and Board Committees. Provide commercially grounded legal guidance on strategy, expansion, partnerships and structural decisions.

  1. Compliance & Regulatory Oversight

Interpret and apply legal frameworks across all jurisdictions. Ensure compliance with employment law, corporate governance, data protection and regulatory obligations.

  1. Contract Management

Lead the drafting, review and negotiation of complex commercial agreements. Establish standardised templates, approval frameworks and contract governance systems.

  1. Litigation & Dispute Resolution

Oversee all litigation, arbitration and regulatory matters. Define legal strategy in coordination with external counsel and implement preventive measures.

  1. Corporate Governance & Secretariat

Oversee governance frameworks. Support Boards and Board Committee processes including preparation of legal papers and advisory on directors’ duties.

  1. Expansion, M&A & Strategic Projects

Lead legal workstreams for market entry, entity setup, licensing, joint ventures and acquisitions. Conduct legal due diligence and advise on integration and compliance.

 MANDATORY REQUIREMENTS

Education

  • Bachelor of Laws (LLB) from a recognised institution.
  • Postgraduate qualification (LLM, MBA or equivalent) is an advantage.

Professional Qualifications

  • Admission to the Bar in at least one East African jurisdiction.

Experience

  • 10 to 12 years of post-qualification legal experience.
  • At least 5 to 7 years in a senior legal leadership role.
  • Demonstrated cross-border legal experience across East Africa.
  • Strong background in employment law, commercial contracts and regulatory compliance.
  • Experience advising executive leadership and Boards; proven experience managing external counsel across jurisdictions.

What Success Looks Like in the First 12 Months

The appointee will be measured against verified outcomes, not activity. The targets below are the bar. They are also the standard against which the Strategic Brief submitted with this application will be assessed.

    01 Group Legal Function established: Structure, mandate, service catalogue and interface with each subsidiary defined, documented and operating. Reviewed with the Group CEO and each Country Manager.

    02 Contract management framework live: Standardised templates, approval matrices and contract lifecycle discipline in place across all entities. Baseline contract inventory established.

   03 Board secretariat cadence anchored: Every Board and Board Committee meeting supported with legally sound papers, minutes, and directors’ duties advisory. Zero governance findings at Board level.

   04 External counsel panel rationalised: Panel of external legal advisors reviewed, rationalised where duplicative, and governed under a single engagement and cost management framework.

   05 Regulatory calendar operational: Live map of statutory and regulatory obligations across all five countries, with a tracked calendar and owners for each obligation.

    06 Litigation exposure reduced: Baseline litigation and dispute exposure measured; twelve-month plan in place to reduce it, with specific preventive interventions delivered.

  1. Legal risk framing; the three most material legal or compliance risks QSSG is likely to face as it scales across Africa. For each, name the risk, the jurisdictional dimension, and one preventive measure you would prioritise in your first 90 days.
  2. Challenge the leadership; two assumptions QSSG leadership may be carrying about legal or compliance risk that deserve to be tested. Explain why each matters.
  3. Behavioral influence; describe a moment when you influenced a consequential legal or commercial decision without positional authority. What was your approach, what resistance did you face, and what would you do differently?
